The specific services, deliverables, timelines, and fees for any engagement will be set out in a separate proposal, statement of work, or agreement ("Service Agreement"). Where these Terms and a signed Service Agreement conflict, the Service Agreement takes precedence. Anything on the website is for general information and is not a binding offer.

5. Payments, billing & refunds

Fees, payment schedules, and any refund terms are set out in your Service Agreement or invoice. Unless stated otherwise:

• Invoices are due within 15 days of the invoice date.
• Late payments may incur reasonable late fees and may pause work until the account is current.
• Fees are non-refundable except as expressly stated in your Service Agreement or required by law.

6. Intellectual property

All content on our website — including text, graphics, logos, and branding — is owned by Xpertixe or its licensors and is protected by law. You may not copy or reuse it without our written permission.

Ownership of deliverables we create for clients (and any transfer of rights on payment) will be set out in your Service Agreement. Unless otherwise agreed in writing, we retain ownership of our pre-existing tools, frameworks, and know-how.

7. User responsibilities & acceptable use

You agree to provide accurate information, hold the rights to any materials you give us, and use our website and Services lawfully. You must not use them to infringe others' rights, transmit harmful code, or engage in unlawful, misleading, or abusive activity.

8. Disclaimers & limitation of liability

Our website and general information are provided "as is," without warranties of any kind. While we work hard to deliver results, marketing outcomes depend on many factors and we do not guarantee specific results unless expressly agreed in writing.

To the fullest extent permitted by law, Xpertixe will not be liable for indirect, incidental, or consequential losses, and our total liability arising out of or relating to the Services is limited to the fees you paid us for the relevant Services in the twelve (12) months before the claim.

9. Termination

Either party may end an engagement as set out in the Service Agreement. We may suspend or terminate your access to the website or Services if you breach these Terms. Provisions that by their nature should survive termination (such as intellectual property, disclaimers, and limitation of liability) will continue to apply.

10. Governing law & disputes

These Terms are governed by the laws of the State of Missouri, United States, without regard to conflict-of-law rules. Any disputes will be resolved in the state or federal courts located in Missouri, and you consent to personal jurisdiction there.

11. Changes to these terms

We may update these Terms from time to time. When we do, we'll revise the "Last updated" date above. Continued use of our website or Services after changes means you accept the updated Terms.
